Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Canvas Strategy Group BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
This limitation includes, but is not limited to, damages for loss of profits, revenue, data, use, goodwill, or other intangible losses resulting from:

- 2. Any conduct or content of third parties on our services
- 3. Any content obtained from our services
- 4. Unauthorized access, use, or alteration of your transmissions or content
Consequential Damages Exclusion
Under no circumstances will Canvas Strategy Group be liable for any indirect, special, incidental, or consequential damages whatsoever, including without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss, whether based in contract, tort, negligence, strict liability, or otherwise.
Force Majeure
Canvas Strategy Group shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
Legal Information and Dispute Resolution
Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
Jurisdiction and Venue
You agree that any legal action or proceeding arising out of or relating to these Terms and Conditions or your use of our services shall be instituted exclusively in the federal or state courts located in Cook County, Illinois. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
Dispute Resolution Procedures
In the event of any dispute, controversy, or claim arising out of or relating to these Terms and Conditions, the parties agree to first attempt to resolve the matter through good faith negotiations. If the dispute cannot be resolved through direct negotiation within thirty days, either party may pursue available legal remedies.
Severability Clause
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If such modification is not possible, the provision shall be severed from these terms, and the remaining provisions shall continue in full force and effect.
Entire Agreement
These Terms and Conditions, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Canvas Strategy Group concerning your use of our services. These terms supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and Canvas Strategy Group.

Waiver and Assignment
